Referral Program Rules

The following ScribbleVet Referral Program Rules (“Program Rules”) govern your participation in the ScribbleVet Referral Program. The Program Rules are in addition to any agreements between you and ScribbleVet, including the Terms of Service as applicable (collectively, the “ScribbleVet Terms”). The ScribbleVet Terms are incorporated by reference and shall apply to your participation in the ScribbleVet Referral Program, including, if necessary, to resolve any disputes between you and ScribbleVet related to or arising out of the Referral Program.  In the event of any conflict between these Program Rules and any ScribbleVet Terms, these Program Rules shall control with regards to your use of the ScribbleVet Referral Program specifically.  Any capitalized terms not defined herein shall have the meaning ascribed to it in the ScribbleVet Terms.

1. Program Overview

The ScribbleVet Referral Program (“Referral Program”) is offered by Kairo Care, Inc. and provides users of our Service (“Users”) the opportunity to refer eligible individuals to join the ScribbleVet community as new Users in exchange for a Referral Reward (defined below). These Program Rules apply to both referrers and referred Users, so please read carefully to understand your respective rights and obligations.

2. Referrer Eligibility

To be eligible to participate in the Referral Program as a referrer, you must maintain a ScribbleVet account in good standing. If you violate the Referral Program Rules or the ScribbleVet Terms, ScribbleVet may suspend or terminate your ability to participate in the Referral Program in its sole discretion.

3. Referred Users

In order for an individual to be eligible to be referred under this Referral program, the person must (i) be eligible to sign up for and use the ScribbleVet Service; (ii) have never previously used ScribbleVet or created a ScribbleVet account; and (iii) must have a preexisting personal relationship the Referrer. If these conditions are met, the person shall be considered eligible to be a “Referred User.”

4. How to Refer a Referred User

You may invite a Referred User to join ScribbleVet by following the procedures described on ScribbleVet’s referral page. Referrals are determined to be valid at our sole discretion. Once you have taken these actions, you shall be considered eligible to receive a Referral Reward (defined below) for such Referred User once they complete an Eligible Registration (defined below).

5. Eligible Registrations

An "Eligible Registration" occurs when a Referred User successfully (i) completes ScribbleVet’s registration process (including any free trial periods provided in connection with their registration), (ii) subscribes for at least one month of the ScribbleVet Service, and (iii) has paid their first invoice.

6. Referral Rewards

a) For Referrers

Subject to the terms of these Referral Program Rules, you are eligible to earn a referral incentive (“Referral Reward”) for each Referred User you refer who completes an Eligible Registration.  The precise nature of the Referral Reward that you receive for an Eligible Registration will depend on (i) the type of ScribbleVet account that you have at the time of the reward, (ii) your relationship with the Referred User, and (iii) whether or not you and/or the Referred User are benefiting from other promotions, discounts or special rates offered by ScribbleVet at the time of the reward.  Specifically:

1. If you are using the ScribbleVet Service on a free trial basis, your free trial period will be extended by two (2) additional weeks. This extension is not transferable to a paid subscription or otherwise redeemable for cash in any way. Alternatively, you may choose for us to donate $50 USD to the 501(c)3 animal rescue or animal shelter of your choice.
2. If you are using the ScribbleVet Service on a paid subscription basis, you will receive a credit worth two (2) weeks off on your next invoice (calculated based on your current monthly subscription rate). This credit is not transferable or redeemable for cash.  Alternatively, you may choose for us to donate $50 USD to the 501(c)3 animal rescue or animal shelter of your choice.
3. Notwithstanding the foregoing or anything to the contrary, if the Referred User is a member from your same corporate network or group, or if you and/or the Referred User are receiving the ScribbleVet Service under a special promotion, discount, or reduced corporate pricing, your only option for the Referral Reward is to choose for us to donate $50 USD to the 501(c)3 animal rescue or animal shelter of your choice.

You will be notified of earned Referral Rewards within thirty (30) days of the Eligible Registration.  Failure to respond to the notification or accept or select a Referral Reward within sixty (60) days of the notification may result in forfeiture of the Referral Reward.

b) For Referred Users

Referred Users will be eligible to receive a welcome bonus upon creating their new ScribbleVet account (the “Welcome Bonus”). The Welcome Bonus will consist of a free two (2) week trial of the ScribbleVet Service.  Such Welcome Bonus is not transferable to a paid subscription or otherwise redeemable for cash in any way. Notwithstanding anything to the contrary, the Welcome Bonus will not be offered to a Referred User if they are (i) a member of the Referrer’s same corporate network or group, or (ii) being offered the ScribbleVet Service under a special promotion, discount, or reduced corporate pricing.

c) Resolving disputes over referrals

Only one Referrer can earn a Referral Reward for a single Referred User. In the event that multiple Referrers claim credit for a particular referral, ScribbleVet has full discretion to determine which Referrer earned such referral according to ScribbleVet’s systems.

d) Reservation of rights

ScribbleVet reserves the right to withhold or deduct Referral Rewards or Welcome Bonuses obtained through the Referral Program in the event that ScribbleVet determines or believes that the receipt of the Referral Reward or Welcome Bonus was in error, fraudulent, illegal, or in violation of these Referral Program Rules or any other applicable agreement between you and ScribbleVet.

7. Restrictions

In connection with your participation in the Referral Program, you expressly agree to the restrictions listed below. When promoting or communicating about ScribbleVet or this Referral Program you agree as follows:

a) No spamming

You agree that you will not “spam” anyone with invitations to join ScribbleVet, and that you at all times will remain compliant with CAN-SPAM, the TCPA, and other applicable laws.  The following specific activities are prohibited:

1. Mass emailing, texting or messaging people you do not personally know.
2. Use of automated systems or bots through any channel to distribute, post or respond to your invitation.
3. Use of scripts, programmed or automatic dialers to send invites.
4. Posting invitations on event or venue pages without express permission from the owner. 

b) No Misrepresentations  

You agree that you will not attempt to mislead anyone in connection with the Referral Program; either by affirmative representation, implication, or omission.  In particular, you agree that you will not:

1. Impersonate any person or entity.
2. Create fake accounts, blogs, webpages, profiles, websites, links or messages.
3. Misrepresent your relationship with ScribbleVet or any other party (do not create communications of any kind that could have the effect of leading a consumer to believe that it is an official communication from ScribbleVet or any ScribbleVet partner or ambassador).
4. Suggest that an affiliation or partnership exists with a third party where none exists.  
5. Don’t make misrepresentations with respect to the characteristics or qualification requirements for any referral awards.  You acknowledge that ScribbleVet may change the characteristics or qualification requirements for referral rewards in its discretion, and therefore you shall not represent any fixed characteristics (for example, amount of ScribbleVet credit, expiration date etc.).

c) Prohibited content  

You agree that you will not use the ScribbleVet brand in connection with:

1. Disparaging or defamatory content concerning ScribbleVet or third parties.
2. Content which promotes racism, bigotry, hatred, discrimination or physical harm of any kind against any group or individual.
3. Offensive, abusive, intimidating or harassing content.
4. Content that is sexually explicit, obscene and/or contains nudity.
5. Any political and/or religious statement.
6. Content containing images or reference to drugs, alcohol, tobacco, weapons or firearms.
7. Content that violates someone else’s privacy.

d) Other restrictions

You also agree that you will not:

1. Create websites, domains or URLs containing the word “ScribbleVet.”
2. Use the names or marks of ScribbleVet’s competitors.
3. Use images of celebrities or other public or private figures without their written consent.
4. Use someone else’s name or intellectual property without their written consent;
5. Engage in phishing or attempting to obtain financial or other personal information;
6. Solicit passwords or personally identifiable information.
7. Sell your referral. You may not sell, trade, or barter your ScribbleVet referral under any circumstances.   You may not pay or provide anything of value to a Referred User beyond any Welcome Bonus supplied by ScribbleVet.
8. Violate or infringe the rights of a third party.  You will not create any ScribbleVet code that infringes on the intellectual property rights of any third party.  You will adhere to the license terms in in any use of the ScribbleVet marks.
9. Advertise. You agree that you will not advertise your ScribbleVet referral or the Referral Program, including via Google, Facebook, Twitter, Bing, Craiglist or any other digital or traditional media where advertising is not allowed.
10. Create printed materials other than those authorized by ScribbleVet.
11. Post printed materials on public or private property without the express written consent.
12. Engage in kickback schemes with other Users or organizations.
13. Engage in fraudulent activity.  You agree that you will not defraud or abuse (or attempt to defraud or abuse) ScribbleVet, the terms of the Referral Program, or any Referred Users.

If you violate any of these restrictions ScribbleVet may, in its discretion, remove your eligibility to participate in the Referral Program, and/or deny you any rewards earned in violation or suspected violation of these restrictions.

8. Other Terms

The following terms shall also apply to your participation in the Referral Program.

1. ScribbleVet reserves the right to decline to register Referred Users in its sole discretion.
2. Referred Users who earn a Welcome Bonus are not eligible for other sign-on bonuses or sign-on guarantees.
3. Users cannot receive rewards for referring themselves.
4. All ScribbleVet promotions run for a limited time only and are subject to change at ScribbleVet’s discretion.
5. ScribbleVet will not be held responsible for any Referral Rewards or Welcome Bonuses not utilized or expired.
6. ScribbleVet will not be held responsible to apply Referral Rewards retroactively to any past invoices or payments.
7. ScribbleVet reserves the right to modify or terminate the Referral Program at any time.
